OpenText Corp. has completed the divestiture of its Vertica data analytics unit to Rocket Software Inc. for US$150 million in cash, a move designed to streamline its portfolio and reduce corporate debt. The deal advances the Canadian software company’s strategy of shedding non-core assets to concentrate on its primary data management and enterprise AI operations.
"This transaction is consistent with our non-core divestiture strategy and our disciplined approach to capital allocation," Ayman Antoun, Chief Executive Officer at OpenText, said in a statement. "The divestiture of Vertica demonstrates that commitment in action, allowing us to concentrate investment in our core businesses."
The sale transfers the entire Vertica business—including its software, customer contracts, and approximately 170 employees—to Rocket Software, which is a portfolio company of private equity firm Bain Capital. For OpenText, the sale provides a direct infusion of capital that will be applied against its outstanding debt, strengthening its balance sheet.
The transaction sharpens the strategic focus for both companies. OpenText can now dedicate more resources to its core offerings in enterprise data management and AI, a high-growth area it has recently emphasized. For Rocket Software, the acquisition of Vertica's enterprise-grade analytics database is intended to enhance its modernization platform by integrating high-performance analytics and AI capabilities for its customers.
A Strategic Shift for OpenText
The sale of Vertica marks a deliberate step by OpenText to optimize its business structure. By divesting the structured data analytics platform, the company is doubling down on its vision as a leader in "data management for enterprise AI." This strategy has been communicated to investors as a way to drive sustained value, and the cash from the sale provides immediate resources to improve the company's leverage profile. The move follows other strategic initiatives, including recent cloud and AI partnerships, that have been received positively by the market.

For Rocket Software, acquiring Vertica is a strategic enhancement of its portfolio.
