OceanaGold agreed to buy Ausgold for A$776 million in stock, paying a 28% premium to add the Katanning Gold Project in Western Australia and expand its production pipeline beyond four operating mines.
"The acquisition of Ausgold adds an advanced, high-quality, low-capital, open-pit development asset to our portfolio at an attractive valuation," Gerard Bond, president and chief executive officer of OceanaGold, said.
Under the court-approved scheme of arrangement, Ausgold shareholders receive 0.03365 OceanaGold shares per share, implying A$1.36 each, with a cash alternative capped at A$194 million. The offer values Ausgold at a 44% premium to its 20-day volume-weighted average price through Aug. 14, and Ausgold holders would own 6% to 8% of the combined company on completion.
The deal gives OceanaGold a fifth asset with first gold expected in 2029, funded from projected free cash flow, while Ausgold holders gain exposure to a diversified producer. Completion is targeted for December 2026 after shareholder and regulatory approvals, including the Australian Foreign Investment Review Board and Toronto Stock Exchange.
Katanning, located 275 kilometers southeast of Perth, is a conventional open-pit project feeding a 3.6 million-tonne-per-annum carbon-in-leach plant, with pre-production capital estimated at A$355 million in Ausgold's December 2025 feasibility study. The project carries potential for more than 100,000 ounces of annual gold production over a life exceeding 10 years, plus a district-scale landholding of more than 3,000 square kilometers across the largely underexplored Katanning greenstone belt.
Ausgold, which had A$87 million in cash and no debt as of June 30, holds a market capitalization of about A$585 million. Its board unanimously recommended the scheme, and major shareholder Dundee Corporation, holding about 7.7 percent, confirmed support. OceanaGold has agreed to extend a A$20 million bridge loan in November 2026 to fund ordinary-course spending before closing.
The transaction is expected to be accretive to OceanaGold on net asset value, future cash flow, and earnings per share once Katanning reaches commercial production, the company said. OceanaGold plans additional drilling through 2027 and an updated NI 43-101 technical report during 2028 ahead of first gold.
The acquisition marks OceanaGold's first in Australia, adding a Tier-1 jurisdiction to operations in the United States, New Zealand, and the Philippines, where it runs the Haile, Macraes, Waihi, and Didipio mines. The company's Brisbane technical office and management with Australian operating experience are expected to help unlock Katanning's full potential, while its balance sheet and forecast free cash flow preserve room to advance the Waihi North Project and maintain capital returns.
For Ausgold shareholders, the deal delivers an immediate premium and the option to crystallize value ahead of project development, while retaining exposure to Katanning through their OceanaGold stake. The scheme requires approval from at least 75 percent of votes cast and a majority by number of shareholders at a special meeting expected in late November, with the scheme booklet due in October.
OceanaGold appointed Jarden and BMO Capital Markets as financial advisers and Corrs Chambers Westgarth as legal counsel.
