Rackspace Technology faces a securities fraud class action after its stock plunged 33.6% when the company cut 2026 revenue guidance by $150 million.
"Rackspace misled investors about its AI efforts and their impact on the company's financial performance," Bleichmar Fonti & Auld LLP said in the complaint filed in the U.S. District Court for the Southern District of New York.
The lawsuit, captioned Morgan-Reed v. Rackspace Technology, Inc., No. 26-cv-6491, covers investors who bought RXT securities between May 7 and July 8, 2026. The stock fell $2.21 to close at $4.37 on July 9, after the company revealed its AI investments required re-prioritizing capacity away from its profitable Private Cloud segment and exiting low-margin Public Cloud infrastructure resale. Management cut the full-year Private Cloud revenue outlook by $25 million and trimmed the Public Cloud revenue estimate by $125 million, citing a trend of customers contracting directly with hyperscale cloud platforms.
The claims stem from a May 7 announcement of a partnership with Advanced Micro Devices to build an enterprise AI cloud, when Rackspace reaffirmed its fiscal 2026 guidance and told investors the AMD deal gave it "confidence in the full year Private Cloud growth profile." On June 16, the company unveiled a workforce realignment plan cutting 15 percent of staff, expecting $75 million to $85 million in annualized run-rate savings. The complaint asserts violations of Sections 10(b) and 20(a) of the Securities Exchange Act of 1934.
Investors have until September 28, 2026, to request appointment as lead plaintiff, a role that oversees litigation strategy and settlement decisions on behalf of the class. Kirby McInerney LLP has also filed a separate action over the same disclosures, and courts regularly appoint individual investors, not only institutions, to lead such cases.
The lawsuit adds legal pressure to a company already navigating a costly strategic pivot, with the 33.6 percent single-day decline erasing roughly $1.3 billion in market value based on the prior close. Investors will watch for the court's lead plaintiff ruling and any further guidance updates from Rackspace's next earnings call as the case proceeds through the Southern District of New York.
