Nvidia invested $3.5 billion in convertible bonds issued by MediaTek, deepening a partnership that lets the Taiwanese chip designer build custom AI accelerators connecting to Nvidia's rack-scale infrastructure.
"AI is transforming every computing platform — from the world's largest AI factories to the PC and the car," Jensen Huang, founder and CEO of Nvidia, said. "MediaTek is one of the world's great semiconductor companies, with exceptional expertise in system-on-chip design, connectivity, leading performance and power efficiency."
MediaTek will adopt Nvidia's NVLink Fusion platform, giving hyperscalers, cloud providers, and frontier-model developers a prevalidated route to develop custom XPUs that plug into Nvidia's NVLink-based AI factories. The technology stack includes the NVLink Fusion chiplet, NVLink-C2C for high-bandwidth connectivity, and NVHBM for customized memory integration. MediaTek's total convertible-bond offering reached $3.9 billion, with Nvidia subscribing to $3.5 billion of the issue.
The deal — the largest direct Nvidia investment outside the US, per Bloomberg — spans AI infrastructure, local AI computing, and automotive platforms. MediaTek shares jumped 10 percent on the announcement. The investment follows Nvidia's $2 billion convertible stake in Marvell Technology announced in March under the same NVLink Fusion program.
The most revealing detail is the instrument. A straight equity stake buys exposure; a convertible buys protection plus exposure. If MediaTek's custom-silicon business stalls, Nvidia holds a bond. If it booms, the bond converts into equity in that boom. Nvidia structured the trade so the custom-chip era pays it twice — once through NVLink Fusion adoption and once through the conversion.
The strategic logic is straightforward. Amazon, Google, Microsoft, and OpenAI are all accelerating in-house chip programs to cut costs and reduce dependence on Nvidia GPUs. NVLink Fusion lets those custom accelerators connect to Nvidia's fabric, networking, and rack-scale systems. MediaTek — which designs semi-custom silicon for companies that lack Nvidia-scale engineering teams — becomes the arms dealer of the custom chip era, with Nvidia part-financing the operation.
The historical rhyme is x86. Intel stayed central to computing for three decades partly because it owned the platform standards, so even rival silicon ended up strengthening the Intel platform it plugged into. Owning the standard mattered more than winning every socket.
The partnership extends beyond infrastructure. Nvidia and MediaTek will continue developing multiple generations of RTX Spark and DGX Spark PC chips, integrating Nvidia GPUs with MediaTek system-on-chip designs for consumer PCs, AI developer systems, and enterprise workstations. The companies previously collaborated on the GB10 Grace Blackwell Superchip that powers Nvidia's DGX Spark.
In automotive, MediaTek's Dimensity Auto platforms will integrate Nvidia AI and RTX graphics for intelligent vehicle cockpits, working alongside Nvidia DRIVE AGX. The companies said they will continue building on this foundation across future generations.
The competitive stakes are highest against Qualcomm, which competes with MediaTek across smartphone, PC, and automotive silicon. Nvidia's backing gives MediaTek access to accelerated computing and AI software that Qualcomm lacks, potentially shifting the balance in edge AI computing.
For investors, the question is whether Nvidia can maintain its influence over AI infrastructure even as its largest customers design their own chips. The convertible structure means Nvidia profits whether MediaTek's custom silicon business thrives or struggles. MediaTek shares, which jumped 10 percent on the announcement, now carry the weight of Nvidia's endorsement — and the expectation that NVLink Fusion design wins will translate into revenue over the coming quarters.
