Robbins LLP filed a securities class action against Fractyl Health (NASDAQ: GUTS) over alleged misleading statements about its Revita DMR System.

The lawsuit covers investors who purchased Fractyl securities between January 13, 2025 and January 29, 2026. The complaint alleges Fractyl misled investors about the viability and efficacy of Revita, an outpatient procedural therapy designed to durably modify duodenal dysfunction, a pathologic consequence of a high-fat and high-sugar diet. According to the complaint, defendants failed to disclose material information about the therapy's performance during the class period.
On January 29, Fractyl released six-month data from the REMAIN-1 Midpoint Cohort showing Revita-treated patients experienced 4.5 percent weight regain versus 7.5 percent in the sham arm — a significantly more modest efficacy result than previously disclosed and falling short of investor expectations. The stock fell 68.03 percent to close at $0.585 per share that day. Morgan Stanley downgraded the stock to Equal-weight from Overweight and cut its price target to $2.00 from $8.00, sending shares down another 21.7 percent to $0.46 on January 30.
Fractyl CEO Harith Rajagopalan said during a January 29 conference call that issues at one study site with "higher-than-expected regain across both arms" contributed to the disappointing results. The company noted the Midpoint Cohort "was not designed to be sufficiently powered for efficacy analysis."
Investors who suffered losses during the class period may be eligible to participate in the lawsuit. Robbins LLP represents investors on a contingency fee basis, with fees and litigation expenses paid by defendants only if there is a recovery. Shareholders seeking to serve as lead plaintiff must contact the firm; serving as lead plaintiff is not required to share in any potential recovery. The lead plaintiff is a court-appointed investor who represents the interests of all class members throughout the litigation.
The class action adds legal overhang to a company already facing a steep valuation decline. Fractyl's next major event will be the full REMAIN-1 data readout, which will determine whether the Revita platform can recover investor confidence. The outcome of the litigation could also affect Fractyl's ability to raise capital for its clinical programs.
