Suja Life (NASDAQ: SUJA) faces a federal securities investigation after its stock crashed more than 70 percent below the $21 IPO price, Hagens Berman said Aug. 12.
"We're investigating whether Suja was sufficiently transparent about its vulnerability to market cycles and, if not, whether there may have been securities law violations," Reed Kathrein, the Hagens Berman partner leading the investigation, said.
Suja completed its IPO in May 2026, selling approximately 8.9 million shares of Class A common stock at $21.00 per share to raise $173 million. On Aug. 4, the company reported Q2 2026 results showing a 21 percent sequential drop in sales and a 7.5 percent sequential decline in gross profit margins, while slashing full-year revenue and growth guidance. Management attributed the weakness to "softness concentrated in the grocery channel" and conceded Q3 sales would decline mid-single digits. The stock fell 46 percent on Aug. 5 and ultimately traded more than 70 percent below the IPO price.
The investigation focuses on whether Suja's IPO registration statement and prospectus made materially false or misleading statements about the "strength, resiliency, and channel stability" of its organic beverage business model. The offering documents claimed a "resilient business model that performs across market cycles" and a "balanced approach to growth, which combines top-line expansion with margin improvement."
During the earnings call, management admitted under analyst questioning that "grocery is under pressure" and that the company was forced to resort to steep promotional discounting to drive volume in alternative channels. Hagens Berman is also seeking whistleblowers with non-public information about Suja, noting that the SEC whistleblower program offers rewards of up to 30 percent of any successful recovery.
The probe adds a new layer of legal exposure for a company whose stock has erased hundreds of millions of dollars in shareholder value since its May listing. The investigation could lead to shareholder lawsuits, potential SEC enforcement, and further downward pressure on the stock. Suja's next catalyst is its Q3 earnings report, where management has guided for mid-single-digit sales declines.
