UBS Investment Bank served as financial advisor and O'Melveny & Myers LLP as legal counsel on the deal.
The sale marks the latest step in Semtech's portfolio reshaping under Hou, who has prioritized the company's data center and LoRa franchises over its cellular module operations. Semtech, headquartered in Camarillo, California, supplies high-performance semiconductors for AI data center networking, IoT connectivity, and intelligent connected devices across infrastructure, industrial, and consumer markets. The company's LoRa technology is a widely adopted low-power wide-area networking protocol for IoT applications.
For Compal, a Taiwan-based electronics manufacturer listed on the Taiwan Stock Exchange, the acquisition extends its footprint into cellular connectivity modules for IoT devices. The deal adds Semtech's cellular module intellectual property, customer relationships, and engineering personnel to Compal's existing ODM operations, giving the Taiwanese firm a direct entry into the cellular IoT module market.
The divestiture comes as Semtech positions itself around two core franchises: data center networking for AI workloads and LoRa connectivity for IoT. The company's data center business has been a growth driver as hyperscalers and enterprises expand AI infrastructure, while LoRa has established a broad installed base across smart buildings, agriculture, logistics, and utility applications. By exiting the cellular module business, Semtech frees capital and management attention for these higher-priority segments.
The $62 million cash consideration, subject to customary adjustments, provides Semtech with additional liquidity as it executes its strategic plan.
